1. Who we are

Voxo ("Voxo", "we", "us") is operated by David Runacres, an individual sole trader (the "Seller"). By creating an account or using Voxo, you are entering into an agreement with David Runacres.

2. Acceptance

By accessing or continuing to use Voxo, you agree to be bound by these Terms. If you do not agree, do not use the service. If you use Voxo on behalf of an organisation, you confirm you have authority to bind that organisation. If you use Voxo as an individual, you confirm you are of legal age in your jurisdiction.

3. The service

Voxo provides browser-based audio and video meetings using WebRTC. We grant you a limited, non-exclusive, non-transferable right to use Voxo within the plan you have purchased. You must keep your account credentials confidential and are responsible for all activity under your account. You must provide accurate information and keep it up to date.

4. Acceptable use

You must not misuse Voxo. In particular, you must not:

  • use the service for any unlawful purpose, fraud, harassment, or spam;
  • infringe anyone's intellectual property, privacy, or other rights;
  • upload or transmit malware, or attempt to probe, scan, or interfere with the security of the service;
  • scrape, reverse engineer, resell, or redistribute the service, or circumvent any technical limits;
  • use Voxo to record participants without their consent where consent is required by law.

5. Intellectual property

Voxo and all related software, documentation, and branding are owned by David Runacres and protected by applicable IP laws. No rights are transferred to you other than the limited licence above. You retain ownership of content you transmit through Voxo; you grant us a limited licence to host and process that content solely to provide the service.

6. Payment, subscriptions, refunds and taxes

Payments are processed by Stripe Payments Europe, Ltd. ("Stripe"), which acts as a merchant of record on our behalf and handles tax calculation, collection, and remittance, as well as fraud protection and dispute handling. Your purchase is also governed by Stripe's End User Terms of Service. See our Refund Policy for our 30-day money-back guarantee. Subscriptions renew automatically until cancelled from your dashboard.

7. Service level and warranties

Voxo is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Liability

Our total liability to you for any claim relating to these Terms or the service is limited to the fees you paid for Voxo in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, data, goodwill, or business opportunities. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

9. Indemnity

You agree to indemnify and hold David Runacres harmless from any claims, damages, or expenses arising from your content, your unlawful use of Voxo, or your breach of these Terms.

10. Suspension and termination

We may suspend or terminate your access to Voxo, with or without notice, if you (a) materially breach these Terms, (b) fail to pay amounts due, (c) pose a security, fraud, or abuse risk to the service or other users, or (d) repeatedly or seriously violate our policies or applicable law. You may cancel your subscription at any time from your dashboard; cancellation takes effect at the end of the current billing period. On termination, your right to use the service ceases and we may delete your account data after a reasonable export window.

11. Changes

We may update these Terms from time to time. Material changes will be communicated through the service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law in your country of residence provides otherwise.

13. Assignment and force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure to perform caused by events beyond reasonable control.
